Notice of Motion
Canadian Yachting Association Annual General Meeting
1:30 pm Saturday, October 29, 2011
Kingston, Ontario
Pursuant to Section 8.8 (e) of The Canadian Yachting Association Bylaws, dated October 30, 2010, the following motion is proposed by the Board of Directors as noted under per agenda item 3:
a)       Whereas, the changes to the CYA Bylaws as recommended by the Governance Committeeare necessary to implement the changes in Association governance model;
 “That the Membership approve the amendments to the CYA By-laws as recommended by the Board of Directors.”

Amend the eligibility requirement for athlete directors
CYA follows best practice by ensuring athletes are represented on the CYA Board. The by-laws restrict the eligibility of athletes to be board members to those who have been carded members of the Canadian Sailing Team within the three years prior. This has given rise to recruitment difficulties and a conflict between the athlete director’s board duties and their continuing campaigns. The Board has approved a change to the eligibility requirements that will allow anyone who has been a carded Canadian Sailing team athlete within the previous ten years to be eligible for election as an athlete director. 
Bylaws Affected:   9.3 (c) and 9.5
Change the word three to ten in 9.3 (c) and in the final sentence of 9.5
9.3 In order to be eligible for appointment or election as a Director, candidates must be:
(a) individuals, at least 18 years of age, with power under law to contract; and
(b) be a member in good standing of a member club, class or other member organization.
(c) In the case of the Athlete Directors the member must have been a carded Canadian Sailing Team athlete within the prior ten threeyears.
9.5The President is elected in odd years for a two-year term and may not serve more than two (2) two-year terms in succession. Directors at Large are elected for a three-year term and may not serve more than two (2) three-year terms in succession. Two (2) Directors at Large are elected each year. Two Athlete Directors, one of each gender, are elected for a one-year term, with no limit on the number of terms. Eligibility to serve as an Athlete Director is limited to those members who are current, or were within the past ten three years, a carded Canadian Sailing Team member.
